Terms of Use

These terms cover buying a licence from this store and using the software it unlocks. They are written to be read — plain sentences, one subject per clause.
01 Agreement to these terms
These terms govern your purchase and use of the software products sold on this site. By buying a licence, installing a product, or starting a trial, you agree to them. If you do not agree, do not install or use the software.
If you are agreeing on behalf of a company or other organisation, you confirm that you have the authority to bind it, and "you" in these terms means that organisation.

"We", "us" and "our" refer to that entity, trading as modou dsp.
03 Definitions
- Product
- An audio software plug-in or application we publish, in any of the formats we supply it in.
- Licence
- The right to use one product, granted to one named account and identified by a licence code.
- Licence code
- The code issued to you on purchase, which together with your email address identifies your licence.
- Activation
- Registering a licence against a particular computer so the product runs on it.
- Seat
- One of the activations a licence allows at a given time.
04 What your licence allows
On payment in full we grant you a non-exclusive, non-transferable, perpetual licence to install and use the product you purchased, for commercial or personal work, subject to these terms.
- A licence covers up to three computers at the same time, activated with the same email address and licence code — for example a studio machine, a laptop and a machine at home.
- You may release a computer at any time from your account or from modou DSP Central, which frees that seat for another machine immediately.
- A licence is issued for one product and does not activate any other product, including other products in the same family.
- You may make copies for backup purposes only.
The licence is granted to you. It is not sold, and it is not transferable to another person or organisation unless we agree in writing.
05 Trials
Every product can be evaluated in full for seven days at no cost. There is no separate trial build: the installer is the product, the download is free, and the trial is started from inside the plugin or from the License page in modou DSP Central.
- A trial runs on one computer and is available once per product per computer.
- A trial is for evaluating the product. Work produced during it is yours to keep and use.
- When the seven days end the product stops processing until a licence is activated.
06 Activation and machine identification
Activating a licence records which computer is using it. To do that, the software derives an identifier from the machine and sends it to our licensing service together with your email address and licence code. We use that identifier to count seats and to let you release one — nothing else.
- Activating and releasing a seat require an internet connection. Ordinary use of the product afterwards does not.
- Substantially changing a computer — replacing its drive or reinstalling its operating system — can make it register as a different machine. Releasing the old entry frees the seat.

07 What you may not do
You may not:
- Sell, rent, lease, lend, sublicense or otherwise make the software or a licence code available to anyone else.
- Share a licence code, or activate it for someone who is not the licence holder.
- Circumvent, disable or interfere with activation, the trial period, or any other protective measure in the software.
- Reverse-engineer, decompile or disassemble the software, except to the extent that applicable law expressly permits it despite this restriction.
- Remove or alter any notice of ownership in the software or its documentation.
08 Ownership
The software is licensed, not sold. We and our licensors keep all rights in it, including copyright, trade marks and any other intellectual property in the software, its documentation and its design. Nothing in these terms transfers any of those rights to you.
Audio you produce using the software is entirely yours. We claim no rights in it and no royalty on it.
09 Orders, prices and tax
Everything sold here is a software licence delivered electronically. Nothing is shipped. Your licence code is issued to the email address on the order, and every licence you own is listed in your account.
- Prices are shown in the currency you select. The currency actually charged, and any conversion, is determined at checkout by your payment provider.
- Prices may include or exclude tax depending on where you are; the amount charged is shown before you confirm the order.
- Payments are handled by our payment providers. We never receive or store your full card details.
- We may correct an obvious pricing error and cancel an affected order, refunding anything already paid.
10 Refunds
Because every product can be evaluated in full for seven days before purchase, our refund policy is as follows:

Where the law that applies to you gives you a statutory right to cancel or to a refund, that right applies in addition to this policy and is not affected by it.
If something is not working, contact us at support@modoudsp.com before asking for a refund — most problems turn out to be a fixable installation or activation issue.
11 Updates and support
We publish updates to our products from time to time. Updates to a product you are licensed for are included with your licence and are installed through modou DSP Central.
We do not promise any particular update, feature or release schedule, and we may discontinue a product. If we do, your existing licence keeps working on the machines it is activated on.
Support is provided in English and Korean by chat and by email. We aim to answer promptly but do not guarantee a response time.
12 Availability of the licensing service
Activating a licence, releasing a seat and starting a trial depend on our licensing service being reachable. We work to keep it available but do not guarantee uninterrupted access, and it may be unavailable during maintenance or because of events outside our control.
A product that is already activated continues to run while the service is unavailable.
13 Warranty disclaimer
The software is provided "as is". To the fullest extent the law allows, we disclaim all warranties that are not expressly given in these terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the software will be error-free, that it will work with every host or system configuration, or that it will meet your requirements. The trial exists so you can establish that for yourself before buying.
Nothing here excludes a warranty or right that cannot be excluded under the law that applies to you.
14 Limitation of liability
To the fullest extent the law allows, we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss or corruption of data or recordings arising from your use of the software.
Our total liability arising out of or in connection with a product is limited to the amount you paid for the licence in question.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under the law that applies to you.
Keep backups of your work. Audio production software runs inside a host you also rely on, and a backup is the only protection either of us can offer against losing a session.
15 Termination
This licence lasts until it ends. You may end it at any time by uninstalling the software and releasing your activations.
We may end it if you materially breach these terms — in particular by sharing or reselling a licence code, or by circumventing activation — and do not put the breach right within a reasonable time of us asking you to. On termination you must stop using the software and remove it from your computers.
16 Changes to these terms
We may update these terms — for example when a product changes or the law does. The current version is always on this page, with its effective date at the top.
Changes apply to purchases made after they take effect. They do not retroactively reduce the rights of a licence you already own.
17 Governing law
These terms are governed by [ to be completed — Governing law and venue ].
If you are a consumer, this does not deprive you of the protection of the mandatory law of the country where you live.
If any provision of these terms is found unenforceable, the rest stays in force.
